Intellectual Property Agreement

Name], hereinafter referred to as the "Creator."

1. Background
1.1 The Creator is engaged by the Company to provide services that may involve the creation or
development of intellectual property.
2. Ownership of Intellectual Property
2.1 All intellectual property created by the Creator during the term of their engagement with the
Company shall be the exclusive property of the Company.
2.2 This includes, but is not limited to, inventions, designs, software, copyrights, trademarks, trade
secrets, and any related documentation.
3. Disclosure of Intellectual Property
3.1 The Creator shall promptly disclose to the Company any and all intellectual property created
during their engagement, whether or not it is related to the scope of their work.
4. Assignment of Rights
4.1 The Creator hereby assigns to the Company all rights, titles, and interests in and to the
intellectual property created during their engagement.
5. Assistance and Documentation
5.1 The Creator agrees to provide reasonable assistance to the Company, both during and after their
engagement, to enable the Company to secure and enforce its rights in the intellectual property.
5.2 The Creator agrees to execute any necessary documents and provide any required information to
document and protect the Company's ownership of the intellectual property.
6. Confidentiality
6.1 The Creator shall keep all intellectual property and related information confidential and shall not
disclose it to any third party without the prior written consent of the Company.
7. Compensation
7.1 In consideration for the assignment of intellectual property rights, the Creator shall receive
compensation as specified in Exhibit A attached hereto.
8. Governing Law
8.1 This Agreement shall be governed by and construed in accordance with the laws of
[Jurisdiction].
9. Entire Agreement
9.1 This Agreement represents the entire understanding between the parties concerning the subject
matter herein and supersedes all prior agreements, written or oral.
10. Amendment
10.1 This Agreement may only be amended in writing and signed by both parties.
